Nous, PRINTEMPS, Société par Actions Simplifiée, au capital de 110.563.160 Euros, dont le siège socialest situé au 102 rue de Provence,75009 Paris,immatriculée au Registre du Commerce et des Sociétés de Paris sous le n° 503314767( dénommée ci-après «Printemps» ),sommes ravis que vous ayez décidé de vendre Votre ou Vos propre(s) Produit(s) dans le cadre d'un programme de rachat mis à disposition parPrintemps, désigné sous le nom SECOND PRINTEMPS(le « Programme»).


Le présent document définit les conditions de cet accord, notamment l'achat des Produits par

Printemps, ainsi que d'autres conditions relatives au Programme (désignées ci-après par les « Termes »).


Nous, PRINTEMPS, Société par Actions Simplifiée, au capital de 110.563.160 Euros, dont le siège social est situé au 102 rue de Provence, 75009 Paris, immatriculée au Registre du Commerce et des Sociétés de Paris sous le n° 503 314 767 (dénommée ci-après « Printemps »), sommes ravis que vous ayez décidé de vendre Votre ou Vos propre(s) Produit(s) dans le cadre d'un programme de rachat mis à disposition par Printemps, désigné sous le nom SECOND PRINTEMPS (le « Programme »).


Le présent document définit les conditions de cet accord, notamment l'achat des Produits par Printemps, ainsi que d'autres conditions relatives au Programme (désignées ci-après par les « Termes »).

1. DEFINITIONS AND INTERPRETATIONS


In the context of these Terms, the following expressions have the following meanings (unless the context indicates a different meaning):


"Gift Voucher": a personalized digital voucher whose amount, corresponding to the Purchase Price Offered by Printemps, is credited via QR code, and will allow you to pay for your purchases in the following Printemps stores: Printemps Haussmann, Nation, Parly 2, Vélizy, Louvre, Deauville, Lille, Lyon, Marseille La Valentine, Marseille Terrasses du Port, Nancy, Rennes, Rouen, Toulon, Saint Jean de Cagnes, and Miramas.


"Product Deposit": refers to the procedure established by PRINTEMPS regarding the deposit of Your Product by you at the Printemps Haussmann store.


"Purchase Offer Email": refers to the email sent by Printemps following the careful review of Your Product and indicating the amount of the Purchase Price Offered by Printemps;


"We": refers to the company Printemps;


"Purchase Price Offered": a firm purchase offer made by Printemps whose amount corresponds to the value of the Gift Voucher that We offer you for the purchase of Your Product;


"Product": refers to the ready-to-wear items and luxury and designer second-hand accessories that you wish to sell to Printemps.


"Program": program established by Printemps, under the name "SECOND PRINTEMPS", through which We or our partners review Your Product for potential purchase, in order to offer our clientele a selective range of second-hand ready-to-wear and accessories.


"You/Your": refers to the individual exercising their rights under these Terms.


2.1 These Terms & Conditions define the exclusive conditions under which Our Company is willing to engage with You; the provision of Products from You to Us must occur solely in accordance with these Terms. You agree to waive any rights you may have under different conditions.


2.2 By accepting the Proposed Purchase Price electronically, you are deemed to have accepted these Terms.


2.3 Printemps reserves the right to update or revise these Terms without notice. The Terms applicable to you are those in effect at the time of the Product Deposit in the Printemps Second Space.

3. PRODUCT INFORMATION


3.1 All products offered for sale in our Second Printemps Space must be validated by us. As part of this validation process, you must complete the Deposit Form with the assistance of our sales advisors, which will be prepared in duplicate (one kept by Printemps, the other kept by you).

Our program aims to offer our customers luxury second-hand items, so the deposited products must meet the eligibility criteria defined by Printemps, including: brand selection, model selection, product condition, and any related accessories.


3.2 The Deposit Form specifies your contact details, product characteristics, proof of product origin (original invoice, certificate of authenticity, serial number...), brand, model, product condition, and will be accompanied by several photographs taken and retained by Printemps (hereinafter referred to as 'Product Presentation').


3.3 The accuracy and completeness of the information provided in the Deposit Form are your responsibility.


3.4 Once your Deposit Form is completed with the help of our advisors, your product will be evaluated by our experts (assessment, authentication, price estimation) and Printemps will send you an email within 72 hours (Monday to Friday, excluding public holidays) either (i) confirming Printemps's intention to purchase your product and including the Proposed Purchase Price, or (ii) informing you that your product does not meet the final buyback criteria and inviting you to collect it from the Second Printemps Space within a maximum of seven (7) working days.


3.5 Upon receiving the Purchase Offer Email, you have the option to accept or decline the Proposed Purchase Price. Your acceptance of the Proposed Purchase Price indicates that you are willing to sell your product to Printemps at the Proposed Purchase Price.

If you do not accept Printemps's offer within five (5) working days, it will be automatically canceled. We invite you to collect your product from the Second Printemps Space within a maximum of seven (7) working days.

If, after rejecting the offer, you change your mind and wish to accept it, you will need to fill out a new Deposit Form. At this stage, if the product is still eligible for purchase, the new Proposed Purchase Price may differ from the first, as product prices are subject to change.


3.6 For the acceptance to be effective, you must accept the Proposed Purchase Price via the link provided in the Purchase Offer Email. The parties express their final and irrevocable consent by accepting the Proposed Purchase Price.

By accepting the Proposed Purchase Price electronically, you declare that you have accepted these Terms.


3.5 Upon receiving the Purchase Offer Email, you have the option to accept or decline the Proposed Purchase Price. Your acceptance of the Proposed Purchase Price indicates that you are willing to sell your product to Printemps at the Proposed Purchase Price.

If you do not accept Printemps' offer within five (5) business days, it will be automatically canceled. We invite you to collect your product from the Second Printemps Space within a maximum of seven (7) business days.

If, after rejecting the offer, you change your mind and wish to accept it, you will need to fill out a new Deposit Form. At this stage, if the product is still eligible for purchase, the new Proposed Purchase Price may differ from the first, as product prices are subject to change.

4. PRODUCT DEPOSIT


4.1 Le dépôt de vos Produits s'effectue au sein de l'Espace Second Printemps, situé au 7ème étage du magasin Printemps Haussmann (Bâtiment Mode Femme)

Printemps se réserve le droit d'accepter ou de refuser de proposer à la vente sur son Espace Second Printemps un Produit qui lui serait proposé.

En cas de doute sur l'authenticité du Produit ou sur l'identification du propriétaire présumé, Printemps se réserve le droit de ne pas accepter le Dépôt de votre Produit.

Le Dépôt de Produit au sein de l'Espace Second Printemps vaut acceptation des présents Termes et de la Politique de Protection des Données, ainsi que validation de l'exactitude des données présentées dans le Formulaire de Dépôt.

Une fois que Vous avez accepté la vente des Produits sur la base du Prix d'Achat Proposé, vous recevrez par email séparé un Bon d'Achat d'un montant équivalent au Prix d'Achat Proposé pour l'achat de votre Produit, utilisable dans les magasins Printemps listés à l'article 1 ci-dessus (non valable sur notre site internet www.printemps.com).



4.2 When preparing your products for the consignment service, be sure to include all necessary items for authentication (including any additional accessories such as straps, locks and keys, dust bags, boxes, etc., this list is not exhaustive), mentioned or visible in the Product Presentation.

If the consignment of a product does not match the Product Presentation, no purchase offer can be made by Printemps, and the product must be retrieved by you from the Second Printemps Space within a maximum of seven (7) business days.


4.3 The transfer of responsibility for the products occurs as soon as the product is consigned in the Second Printemps Space.

In the event of theft or significant damage to the product after consignment, Printemps agrees to compensate you based on the results of the assessment conducted by our partners, which you expressly acknowledge and accept.

5. PURCHASE OF YOUR PRODUCTS


5.1 Following the drop-off of Your Products at the Second Printemps Space, we will conduct a manual assessment of each item to evaluate its condition and any undisclosed defects.

If the Product is damaged, in poor condition, or does not meet the criteria set by Printemps, no purchase offer will be made by Printemps, and the Product must be retrieved by You within a maximum of seven (7) business days at the Second Printemps Space.

The deposited Product must be in 'New', 'Like New', or 'Very Good Condition' to qualify for the authentication process by our expert teams. For your item to be eligible for purchase by Printemps, it must meet a list of criteria defined by Printemps, which is displayed in-store and available from our sales teams.


5.2 Similarly, if at any time and at our sole discretion, we have doubts about the authenticity or ownership of the Product, no purchase offer will be made by Printemps, and the Product must be retrieved by You within a maximum of seven (7) business days at the Second Printemps Space.


5.3 If the assessment of Your products is conclusive, PRINTEMPS will send You a Purchase Offer Email.


6.1 Pour les articles ayant passé avec succès l'expertise et après validation par vos soins du Prix d'Achat Proposé, PRINTEMPS Vous adressera, sous forme d'un e-mail contenant un QR Code, un Bon d'Achat du montant du Prix d'Achat Proposé par Printemps pour l'achat de Votre Produit.

Ce Bon d'Achat est nominatif et non cessible, et Vous permet, sur présentation (soit via votre smartphone soit sur format papier) du QR Code lors de votre passage en caisse, de régler vos achats dans les magasins Printemps listés à l'article 1 ci-dessus (non valable sur notre site internet www.printemps.com).

Ce Bon d'Achat peut être utilisé en une seule fois ou de manière fractionnée, ainsi qu'en complément d'un autre moyen de paiement.

La durée de validité du Bon d'Achat est de douze (12) mois, étant précisé que cette durée sera prolongée lors de chaque nouvel achat par Printemps d'un nouveau Produit de seconde main que Vous souhaitez vendre.

Le solde restant sur votre Bon d'Achat est consultable sur le ticket de caisse à chaque achat payé avec votre Bon d'Achat.


6.2 Veuillez noter que le Bon d'Achat reçu peut uniquement être utilisé dans l?ensemble de nos magasins tels que listés ci-dessus à l'article 1 : Vous ne recevez pas la contrepartie en espèces de votre Produit, et le crédit reçu ne peut être échangé contre des espèces.

7. WARRANTIES


7.1 You guarantee to us that:

a) you are over 18 years old (your ID card or passport will be requested) and you are a resident of France

b) you are the owner of the Product and you have the right to sell this Product (proof of origin will be required for this purpose);

c) the Presentation of the Product you submit to us is accurate, complete, precise, and faithful;

d) the Product is authentic and not counterfeit as defined by the Intellectual Property Code;

e) neither the Presentation of the Product nor Your Product violates any legal or regulatory provision;

f) the Product is free of any personal effects, clean, in optimal hygienic condition, and free from any internal and external contamination;

g) the Product is free from any infestation (moths or other insects, larvae, and other living organisms).


7.2 To avoid any confusion, any attempt to sell counterfeit goods or products ('fakes') or in violation of clause 7.3 below will constitute a breach of the warranty stated in clause 7.1.


7.3 We require that all products made from listed exotic skins be certified by CITES (Convention on International Trade in Endangered Species of Wild Fauna and Flora) and we will not allow the presentation of exotic skins without permission from CITES and IUCN (International Union for Conservation of Nature).

8. TERMS OF SALE


8.1 You must hold the rights, titles, and interests related to all the Products you wish to sell at Printemps.


8.2 The Product, the sale, and the Deposit of said Product at Printemps:

a) must not infringe on third-party intellectual property rights (including copyrights, trademarks, patents, trade secrets, or other proprietary rights); and

b) must not be counterfeit, misappropriated, or fraudulent.


8.3 You represent and warrant that the Product is free from any lien or encumbrance. By participating in the Program, you agree to indemnify Printemps for any claims or losses incurred by Printemps resulting from a breach of these representations and warranties.

9. RESPONSIBILITY


You declare and guarantee that you have the right to transfer ownership of the Product(s) sold, that they are not in any way already sold, pledged, or encumbered, or otherwise assigned to a third party, and that the transaction you are making does not violate any third-party rights.

You guarantee us and indemnify us at first request from Printemps against any damage suffered by Printemps and against any liability action that may be brought against Printemps based on the violation of any third-party rights.

In the case of serious fraud (counterfeit, trafficking, illegal importation, etc.), Printemps will provide all necessary information, including personal data, to the relevant authorities responsible for combating such fraud and offenses.

10. Privacy Policy


We only use your personal information in accordance with our Privacy Policy available at: https://www.printemps.com/fr/fr/protection-donnees-personnelles. We encourage you to take the time to read it carefully: it contains important information about how your data is collected and used. You agree to provide us with accurate information, including your identity, address, and any other data necessary for access to the Program, and to update any changes regarding this information.

11. OTHER INFORMATION


11.1 We cannot be held responsible for any loss of earnings, loss or interruption of business, or loss of business opportunity.


11.2 We will not be liable for any failure or delay in the performance of any of our obligations to You, if such failure or delay is due to an event beyond Our control.


11.3 By an event beyond our control, We mean any act or event over which We or Our partners cannot reasonably exercise any control, such as natural disasters, wars, terrorist attacks, embargoes, riots, strikes, lockouts, demonstrations, commercial disputes, fires, floods, pandemics, earthquakes or other natural disasters, outages, severe weather, transportation interruptions, state decisions, or failures of telecommunications or transport networks, whether public or private.


No provision of these Terms excludes or limits the liability of either party in the event of an inaccurate and/or fraudulent claim.

13. Third Party Rights


This agreement is made solely for the benefit of the parties involved; no third party may derive any benefit or claim rights from it.

Exemption


Any waiver of any right under these Terms will only be effective if it is documented in writing and applies exclusively to the party to whom the waiver is directed and the circumstances for which it is granted.

15. BREAKUP


If any provision of these Terms is found to be null, unenforceable, or illegal, the remaining provisions shall remain in effect.

16. LANGUAGE / APPLICABLE LAW / JURISDICTION


16.1 These Terms are written in French and English, both texts being equally authoritative. However, in case of any linguistic discrepancies, the French version shall prevail.


16.2 These Terms and any dispute or claim (including non-contractual disputes and claims) arising from or in connection with them, their subject matter or formation are governed by the provisions of French law and fall under the exclusive jurisdiction of the courts of Paris.
