CONTEST RULES « MY FIRST NFT »

March 21st to May 1st, 2022


Article 1: Definitions 


For the purposes of these rules, the expressions below shall hold the following meanings:


Contest: refers to the present game, the rules of which are specified in the present Contest Rules.

Participating store: refers to the PRINTEMPS HAUSSMANN store in Paris? 9th arrondissement. 

Participating merchant website: refers to www.printemps.com.

The Organizing Companies: refers to the companies PRINTEMPS and PRINTEMPS.COM, as defined in Article 2.

Participant: refers to the participant in the contest as defined in Article 6

Rules: refers to the present contest rules


Article 2: The organizing companies 

 

PRINTEMPS.COM, a Société par Actions Simplifiée (simplified joint stock company) with a share capital of 41,800 euros, whose registered office is at 102, rue de Provence, 75009 Paris, registered in the Paris Trade and Companies Register under number 430 236 695, and PRINTEMPS, a Société par Actions Simplifiée (simplified joint stock company) with a share capital of 110. 110,563,160, whose registered office is at 102 Rue de Provence, Paris, registered with the Paris Trade and Companies Register under the number 503 314 767, have organized the "My first NFT" contest from 21 March to 1 May 2022 at Paris? PRINTEMPS Haussmann store and on the https://www.printemps.com website.


Article 3: Acceptance of the Rules 


Participation in this Contest implies the Participant's express and unreserved acceptance of the present Rules, the principle of the Contest and any amendments thereto. Any person who contravenes one or more articles of these Rules shall no longer be eligible to participate in the Contest or partake of any prize that he/she may have won.


The present Rules will be available for consultation on the website https://www.printemps.com.


Article 4: Duration


The Contest will run from March 21 to May 1, 2022.


Article 5: The Participating Store


The sole Participating Store is :


Printemps Haussmann in Paris (9th arrondissement)

Article 6 : Participation


Participation in the Contest is open to any natural person whose place of residence and bank account is located in metropolitan France, Germany, Austria, Belgium, Spain, Ireland, Italy, Luxembourg, the Netherlands, Portugal, Great Britain, Slovakia, or Slovenia.  

Any participant who is a minor must obtain the prior authorization of a parent or legal guardian to participate in the Contest. 


The Organizing Companies may ask any winner under the age of legal majority to provide proof of said authorization and, if necessary, may disqualify any participant who cannot provide proof of said authorization. 


Participation in the Contest is strictly personal, subject to a purchase obligation, and under no circumstances may a participant play on behalf of another person.


The following may not participate in the Contest


- employees of the Organizing Companies as well as members of their families (ascendants, descendants and direct collaterals), including their spouses. Any participation by the persons listed in this paragraph shall not be entitled to a reward in the event of their selection.


Article 7: Game terms and conditions 


To participate in the Contest, each Participant must:

- be a natural person,

- hold residence in Metropolitan France, Germany, Austria, Belgium, Spain, Ireland, Italy, Luxembourg, the Netherlands, Portugal, Great Britain, Slovakia, or Slovenia

- possess a bank account in France, Germany, Austria, Belgium, Spain, Ireland, Italy, Luxembourg, the Netherlands, Portugal, Great Britain, Slovakia, or Slovenia

 - purchase an NFT selection product (30 products) on the website https://www.printemps.com or in Haussmann stores (selection of 10 marked products) from March 21 to May 1, 2022

- communicate his or her e-mail address so that Printemps can contact the individual in the event of their winning.


Article 8: Presentation of the prizes 


The following prizes, totaling 31 (thirty-one), will be awarded: 

Lots n°1 to n°30 : an NFT by artist Romain Froquet with a unit value of 333 ? TTC, transferred to the winner via our partner Arianee and according to the instructions available on https://www.nft.printemps.com


Lot n°31 : a painting by artist Romain Froquet, estimated at 4500? TTC, exhibited at the Haussmann store during the Contest. 


The value indicated for the prizes corresponds to the estimated price at time these Rules were written. It is given as a simple indication and is likely to vary.


Article 9: Awarding of prizes


Six (6) raffle drawings will be held, once (1) a week, between March 21 and May 2, 2022 from the NFT selection at https://www.printemps.com or from the selection reported to the Haussmann store. Five (5) winners will be drawn per week. A total of thirty (30) winners will be awarded an NFT piece.


A seventh random draw will be held at the end of the game on or before May 2, 2022, to select the winner of the original painting by Romain Froquet, from the 30 NFT winners selected in the previous drawings.


The draws will be conducted randomly on all sales receipts pertaining to the NFT selection products at the Haussmann store or on Printemps.com on the dates of the Game specified above by two (2) members of the Organizing Companies.


The thirty (30) winners will be contacted the week following each draw at the e-mail address provided upon purchase, and will be informed of the terms and conditions for the delivery of their prize. Prize delivery is dependent upon the winner?s compliance with the terms and conditions provided.

In the event that a winner does not respond to the Organizing Company?s request within forty-eight (48) hours, the winner will be considered to have forfeited his/her prize.


The secure delivery of the original painting by Romain Froquet, although carried out in the winner's best interest, is not guaranteed. Potential damages must be noted and documented by the recipient, and addressed directly to the companies having executed the shipment. 


None of the prizes may give rise, on behalf of the winner(s), to any dispute whatsoever, nor to the remittance of its total or partial value in cash, nor to its exchange or replacement, for any reason whatsoever.


No claim, nor any recourse relating to any of the prizes or to their attribution may be made against the organizing companies.

In this regard, the Participant is responsible for the data he/she transmits to the Organizing Companies. The latter shall not be held responsible in the event that incorrect information is provided by the Participant. 


Article 10: Disputes and responsibilities


Participation in the Contest implies unreserved acceptance of these Rules in their entirety. If one or more provisions of these Contest Rules are declared null and void or inapplicable, the other clauses shall retain their full force and scope. The information and contact details provided by the participant must be valid and sincere, under penalty of exclusion from the Game and, where applicable, loss of the status of winner.


The Organizing Companies may not be held liable in any way for any malfunction of the participation method in the context of the Contest. In such cases, Participants may not claim any compensation or indemnity of any kind whatsoever. 


No telephone or written request will be answered concerning the interpretation or application of these Rules, the mechanisms or terms of the Contest or the designation of winners. In the event of a dispute, only a registered letter with acknowledgement of receipt sent no later than thirty (30) days after the expiration date of the Contest to the following address will be accepted :

The Organizing Companies shall not be held liable in any way if, in the event of happenstance beyond their control, they are forced to cancel, shorten, extend, postpone, or modify the conditions of this Contest. In such cases, the Organizing Companies reserve the right to extend, postpone, or reduce the Contest period.


Article 11: A cautionary note


Participants are invited to participate in this Contest with discernment and moderation. The Organizing Companies wish to warn Participants against any compulsive behavior likely to seriously alter their economic situation with a view to increasing their chances of winning, and shall not be held liable for any damages or consequences that may result therefrom. 



Article 12: Use of personal data 


The personal data of Participants is processed by Printemps SAS, Printemps.com SAS, and BPCP SAS (the "Printemps companies") for the purposes of the Game (registering participation in the Game, determining the winners, and awarding prizes) and for the management of the Printania loyalty program (program and newsletter management, implementation of marketing and promotional offers, monitoring of customer relations, improvement of the customer experience, improvement of customer knowledge, management of rights, management of fraud). The Participant's personal data may only be used by Printemps to send commercial solicitations with the Participant's express consent and according to the preferences selected in his/her loyalty account preferences. 


The Printemps companies agree not to divulge the personal data provided by the Participants either directly or indirectly to any third party, with the exception of service providers who, as subcontractors within the meaning of the General Data Protection Regulation (hereinafter, the "GDPR"), will act solely on the instructions of the Printemps companies.


The personal data of Participants processed in the context of the Contest is only kept for the duration of the Contest. The personal data processed in the context of the management of the Printania loyalty program registration is kept for 3 years after the client?s last in-store activity, email/sms*2 activity, or e-commerce activity.


In accordance with the French Data Protection Act of January 6, 1978, reinforced and amended by the RGPD (General Data Protection Regulation), which came into effect on May 25, 2018, the Participant has, at any time and in the cases provided for by the law, a right to information, access, rectification, and/or deletion of his/her personal data, as well as a right to oppose its processing. In addition, the Participant has a right to limit the processing of his/her data, a right to the portability of all his personal data, as well as a right to formulate specific and general directives concerning the conservation, deletion, and communication of his post-mortem data. A Participant who has contacted the Printemps companies has the right to file a complaint with the Commission Nationale de l'Informatique et des Libertés ("CNIL").

*2. Email or sms activity : not responding to an email or sms solicitation, i.e., not clicking on a hyperlink contained in an email or sms.


Article 13: Decisions of the Organizers


The Organizing Companies reserve the right to modify the present Rules at any time, as well as to make any decisions that they may deem expedient for the application and interpretation of the Rules. The Organizing Companies may bring these modifications to the attention of the Participants by any means of their choice.


The Organizing Companies reserve the right to modify, extend, shorten, suspend, or cancel the Contest, at any time and without notice, in particular if it appears that circumstances require it or prevent the Contest?s normal operation, in whole or in part, including in the event that the Organizing Companies are not or are no longer able to ensure the continuity of service required for the proper operation of the Contest.


The Organizing Companies also reserve the right, if necessary, to invalidate and/or cancel all or some of the prizes if it appears that malfunctions and/or fraud have occurred in any form and from any source whatsoever, including technical or electronic, in the context of participation in the Contest or the determination of the winner(s). 


The Organizing Companies also reserve the right to exclude from participation in this Contest any person who disrupts the proper operation of the Contest, as well as to take legal action against anyone who cheats, defrauds, rigs, or disrupts the operations described in these Rules, or any individual who may attempt to do so. Fraud will result in the immediate disqualification of the perpetrator from the Contest. A winner who has cheated, attempted to do so, or benefited from such a maneuver, will be automatically disqualified from obtaining any of the prizes at stake.


Generally speaking, fraud or attempted fraud, in any form and for any purpose whatsoever, will result in the immediate disqualification of its author, it being specified that no compensation will be admissible as a result. 


No claim or request whatsoever shall be entertained and the Organizing Companies shall not be held liable for the foregoing. 


Article 14: Intellectual property


In accordance with the laws governing intellectual property rights, the reproduction and representation of all or part of the elements of this Contest is strictly prohibited. All brands or product names mentioned in the Contest are the registered trademarks of their respective owners.


Transfer of NFT rights to their winners


The Organizing Companies assign to each winner the following rights: 


? The right to give their NFT to any individual or legal entity at a later date, according to the conditions defined by the winner.


The winner acknowledges and agrees that each NFT is unique and cannot be copied, that access to it is reserved exclusively to the holder of the private encrypted key corresponding to the NFT, that it may be transmitted from one third party to another directly or via exchange platforms, and that these subsequent transmissions may be made free of charge, in exchange for payment, or by means of auctions anywhere in the world.


The Organizing Companies hereby waive any right to commission in any capacity whatsoever in the event of such subsequent exchanges.


The winner agrees that the artist's name will be attached to the NFT and in its description in any public presentation of the NFT or the physical painting of any kind. In this respect, the Organizing Body undertakes to provide a Creation presented in the following manner "Romain Froquet". 


? The right access the NFT and to reproduce it, represent it, exploit it, distribute it, resell it, without any restriction of any kind.


This transfer is valid internationally and for the maximum duration of protection of the rights such as they result from the provisions of the intellectual property code.


The Artist retains full and complete ownership of all his or her moral rights as the author of the Creation in accordance with the provisions of the intellectual property code. 


Transfer of rights to the original work of art to its winner


The Artist transfers the right for the winner to represent, distribute, exploit and resell the painting that will be given to him and this, without any restriction of any kind.


This transfer is valid internationally and for the maximum duration of protection of the rights as they result from the provisions of the intellectual property code.


The Artist retains full and complete ownership of all his or her moral rights as the author of the Painting in accordance with the provisions of the intellectual property code.


Article 15: Applicable law and jurisdiction 


These Rules are subject to and governed by French law.

Any dispute that cannot be settled amicably will be submitted to the competent courts, designated according to the provisions of the Code of Civil Procedure.
